Terms of Service

Last updated: October 8, 2026

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement entered into between you (either individually or on behalf of an entity you represent, “Client,” “you,” or “your”) and Wexbrone Institutional Operations Ltd. (“Wexbrone,” “we,” “us,” or “our”). These Terms govern your access to and utilization of Wexbrone's digital banking applications, multi-account ledger systems, administrative portals, APIs, and associated web interfaces (collectively, the “Service”).

By signing in to your account, submitting an onboarding application, or otherwise accessing the Service, you confirm your full assent to these Terms. If you do not agree to all terms and conditions set forth herein, you are strictly prohibited from using the Service.

2. Eligibility

To be eligible to open and maintain an account with Wexbrone, you represent and warrant that:

  • You are at least eighteen (18) years of age and hold legal competence to form a binding contract.
  • If acting on behalf of a corporation, trust, or partnership, you possess verified signatory authority to bind that entity to these Terms.
  • You are not located in, or a national or resident of, any territory subject to comprehensive sanctions or trade embargoes.
  • Your use of the Service complies with all applicable local, national, and international laws and financial regulations.

3. Account Registration and Security

When opening a Wexbrone account, you must complete identity verification. You are solely responsible for maintaining the confidentiality and integrity of your authentication credentials, including your email address, 10-digit account number, password, and confidential security PIN.

You agree to notify Wexbrone immediately at support@wexbrone.com upon becoming aware of any actual or suspected unauthorized access to your account or any other breach of security. Wexbrone shall not be liable for any losses arising from unauthorized access resulting from your failure to safeguard your login credentials or PIN.

4. Acceptable Use

You agree to utilize the Service strictly for lawful financial operations. You shall not, directly or indirectly:

  • Engage in, facilitate, or promote money laundering, terrorist financing, fraud, identity impersonation, or tax evasion.
  • Attempt to circumvent, compromise, probe, or breach the technical safeguards, security gates, or authentication layers of the platform.
  • Reverse engineer, decompile, disassemble, or extract source code from the Service or its underlying database schemas.
  • Introduce viruses, malware, logic bombs, automated scraping bots, or harmful code designed to disrupt normal ledger operations.
  • Interfere with or overburden the infrastructure hosting the platform or impede another client's access to their accounts.

5. Transactions and Balances

All deposits, wire settlements, internal ledger transfers, and adjustments are subject to authoritative ledger verification. Key operational rules include:

  • Authoritative Ledger: Account balances reflect settled transactions recorded on Wexbrone's authoritative ledger. While balances update in real time upon posting, transactions remain subject to regulatory clearing and fraud mitigation checks.
  • Available Funds: You may not initiate a transfer or disbursement exceeding the cleared available balance of the designated originating account.
  • Transfer Finality: Completed and posted ledger transfers are generally irreversible once settled. Ensure all counterparty routing and account identifiers are verified prior to authorizing disbursement.
  • Corrections & Adjustments: Wexbrone reserves the right to correct ledger clerical errors, reverse mistaken postings, or adjust balances in accordance with banking compliance standards.

6. Fees

Wexbrone provides transparent pricing for private banking and ledger custody services. Applicable service fees, wire clearance costs, account maintenance schedules, and foreign exchange differentials (if any) are disclosed directly in-app prior to transaction confirmation or outlined in your institutional client schedule. By authorizing a transaction, you agree to pay any associated fees disclosed at the time of execution.

7. Suspension and Termination

Wexbrone reserves the right, in its sole discretion and without prior notice, to temporarily freeze accounts, restrict transaction execution, or terminate access to the Service in the event that:

  • You breach any provision of these Terms or related operating agreements.
  • We detect suspected fraudulent, deceptive, or unauthorized activities involving your account.
  • Compelled by a court order, legal process, or regulatory directive from competent financial authorities.
  • Your account information cannot be verified or remains unverified following compliance review.

Upon termination, your right to access the Service shall immediately cease, and remaining lawful funds will be disbursed in accordance with applicable statutory guidelines and safety procedures.

8. Intellectual Property

The Service, including its wordmarks, visual designs, software architecture, proprietary interfaces, source code, and documentation, is the exclusive intellectual property of Wexbrone Institutional Operations Ltd. and its licensors. You are granted a limited, non-exclusive, revocable, non-transferable license solely to access the client portal for legitimate banking operations. Nothing in these Terms grants you any title, ownership, or commercial distribution rights.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE SERVICE AND ALL ASSOCIATED CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

Wexbrone does not guarantee that the Service will operate uninterrupted, error-free, completely immune to downtime, or that all system defects will be corrected instantaneously.

10. Limitation of Liability

To the fullest extent permissible by law, in no event shall Wexbrone, its directors, officers, employees, affiliates, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, lost revenue, data corruption, business disruption, or cost of substitute procurement, regardless of the theory of liability (whether contract, tort, strict liability, or otherwise), even if advised of the possibility of such damages.

Our aggregate cumulative liability arising out of or related to your use of the Service shall not exceed the total fees paid by you to Wexbrone for the Service during the twelve (12) month period immediately preceding the event giving rise to liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wexbrone, its affiliates, licensors, and service providers, alongside their respective officers, directors, employees, and agents, from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or legal fees arising out of or resulting from: (a) your breach of these Terms; (b) your misuse of the Service; (c) any violation of applicable laws or third-party rights by you or your account; or (d) unauthorized transactions executed using your authentication credentials.

12. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws applicable to commercial contracts and financial agreements, without regard to principles of conflicts of law.

Any controversy, claim, or dispute arising out of or relating to these Terms or the breach thereof shall first be submitted to good-faith informal conciliation between the parties. In the event that informal resolution cannot be achieved within thirty (30) days, the dispute shall be resolved through binding arbitration or submitted to the jurisdiction of competent courts of appropriate commercial venue.

13. Changes to These Terms

Wexbrone may revise and update these Terms from time to time in response to evolving technological requirements, regulatory updates, or operational improvements. All revisions take effect upon publication on the platform. We will communicate material changes through our web portal or registered client notices. Your continued use of the Service following the posting of revised Terms demonstrates your acceptance of and agreement to the modifications.
